Obsidian Regulatory Intelligence — a product of Obsidian Technologies SARL

1. Acceptance of Terms

By accessing or using the Obsidian Regulatory Intelligence platform (the "Service"), operated by Obsidian Technologies SARL ("Obsidian Technologies", "we", "us", or "our"), a company incorporated under Swiss law with its registered office in Lausanne, Switzerland, you ("User", "you", or "your") agree to be bound by these Terms of Use ("Terms").

If you do not agree to these Terms, you must immediately cease all use of the Service. Your continued use of the Service constitutes your acceptance of these Terms and any future amendments.

2. Description of the Service

Obsidian Regulatory Intelligence is a Software-as-a-Service (SaaS) platform specializing in regulatory technology (RegTech). The Service provides regulatory monitoring, aggregation, and analysis of publicly available legislative, regulatory, and compliance information from governmental and official sources worldwide.

The Service is designed for professional use by compliance officers, legal departments, consultants, and other business professionals seeking to monitor regulatory developments.

3. Important Disclaimer — Information Accuracy and Liability

3.1. No Guarantee of Accuracy

THE INFORMATION PROVIDED THROUGH OBSIDIAN MONITORING ADVISORY IS AGGREGATED FROM THIRD-PARTY SOURCES, INCLUDING GOVERNMENT WEBSITES, OFFICIAL GAZETTES, REGULATORY AGENCIES, AND NEWS OUTLETS. OBSIDIAN TECHNOLOGIES DOES NOT AUTHOR, VERIFY, ENDORSE, OR GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR CURRENTNESS OF ANY INFORMATION DISPLAYED ON OR DELIVERED THROUGH THE SERVICE.

Obsidian Regulatory Intelligence acts solely as an aggregator and monitoring tool. The content displayed on the platform originates from external, publicly available sources over which Obsidian Technologies exercises no editorial control.

3.2. No Liability for Third-Party Content

OBSIDIAN TECHNOLOGIES SHALL NOT BE HELD LIABLE, UNDER ANY CIRCUMSTANCES AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FOR ANY ERRORS, OMISSIONS, INACCURACIES, OR MISREPRESENTATIONS CONTAINED IN THE INFORMATION RELAYED THROUGH THE SERVICE. This includes, without limitation:

  • Regulatory texts, laws, or legislative summaries that may be incomplete, outdated, or incorrectly sourced.
  • AI-generated analyses, summaries, or categorizations of regulatory content.
  • Delays in reflecting regulatory updates or changes published by original sources.
  • Information sourced from third-party websites that may have been modified, retracted, or corrected after our collection.

3.3. No Professional Advice

THE SERVICE DOES NOT CONSTITUTE LEGAL, FINANCIAL, INVESTMENT, TAX, COMPLIANCE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. The information provided is for general informational and monitoring purposes only and should not be relied upon as a substitute for professional consultation.

Users are solely responsible for independently verifying any information obtained through the Service before making any business, legal, regulatory, investment, or compliance decision.

3.4. No Liability for Decisions Based on the Service

OBSIDIAN TECHNOLOGIES EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY ACTIONS TAKEN OR NOT TAKEN, OR ANY DECISIONS MADE OR NOT MADE, BY USERS OR ANY THIRD PARTY IN RELIANCE UPON THE INFORMATION PROVIDED THROUGH THE SERVICE. Your use of the Service and reliance on any information provided through it is entirely at your own risk. Obsidian Technologies recommends that users always consult qualified professionals (legal counsel, compliance advisors, regulatory experts) before acting on any regulatory information.

4. User Accounts

4.1. Account Registration

Access to the Service requires the creation of a user account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your login credentials confidential and secure.
  • Notify us immediately of any unauthorized use of your account.

4.2. Account Responsibility

You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities. Obsidian Technologies is not liable for any loss or damage arising from unauthorized access to your account.

4.3. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to breach of these Terms, non-payment, or suspected fraudulent activity.

5. Subscription and Payment

5.1. Subscription Plans

The Service is offered on a subscription basis. Details regarding subscription plans, pricing, and features are provided on the Service or communicated directly to the User.

5.2. Payment Terms

  • Subscription fees are billed in advance for the applicable billing period.
  • All fees are exclusive of applicable taxes unless otherwise stated.
  • Payments are non-refundable, except where required by applicable law or as expressly stated in a separate agreement.

5.3. Changes to Pricing

We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Specifically, you shall not:

  • Attempt to gain unauthorized access to the Service, its servers, or any connected systems.
  • Use the Service to transmit any malware, viruses, or harmful code.
  • Scrape, crawl, or use automated means to extract data from the Service without our prior written consent.
  • Reproduce, distribute, sublicense, resell, or commercially exploit any part of the Service without authorization.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

7. Intellectual Property

7.1. Ownership

The Service, including its software, design, logos, trademarks, and all proprietary content, is the exclusive property of Obsidian Technologies SARL and is protected by Swiss and international intellectual property laws.

7.2. Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3. Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Remove or alter any proprietary notices, labels, or marks on the Service.

7.4. Third-Party Content

Content aggregated and displayed through the Service remains the property of its respective owners. Obsidian Technologies claims no ownership over third-party content. The display of such content is for informational purposes and is subject to the disclaimers set forth in Section 3.

7.5. Your Content

You retain all ownership rights in the content you submit to the Service, including searches, monitoring configurations, questions and documents submitted to AI features, and feedback. By submitting content, you grant Obsidian Technologies a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and analyze such content to the extent necessary to provide, secure, maintain, and improve the Service and to develop new features. This license ends when the content is deleted from the Service, subject to any legal retention obligations.

8. Service Availability and Modifications

8.1. Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2. Modifications

We reserve the right to modify, update, or discontinue any part of the Service at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation of the Service.

9. Limitation of Liability

9.1. Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF OBSIDIAN TECHNOLOGIES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.2. Exclusion of Damages

IN NO EVENT SHALL OBSIDIAN TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunities, or goodwill.
  • Cost of procurement of substitute services.
  • Damages arising from or related to reliance on information provided through the Service.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Obsidian Technologies has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Obsidian Technologies SARL, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  • Any decision or action taken by you based on information obtained through the Service.

The Service may contain links to third-party websites, services, or content that are not owned or controlled by Obsidian Technologies. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You access third-party content at your own risk.

12. Privacy and Usage Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the practices described in the Privacy Policy.

By using the Service, you further acknowledge and agree that Obsidian Technologies records and analyzes usage and interaction data relating to your account, including pages viewed, features used, searches performed, monitoring configurations, and interactions with AI features (including the content of AI conversations and submitted documents), and that such data may be reviewed at the level of your individual account, through automated tools and human review by authorized personnel, in order to operate, secure, support, personalize, and improve the Service and to develop new features, as further described in the Privacy Policy.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of Lausanne, Canton of Vaud, Switzerland.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

15. Waiver

The failure of Obsidian Technologies to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term shall only be effective if made in writing and signed by an authorized representative of Obsidian Technologies.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Obsidian Technologies on the Service, constitute the entire agreement between you and Obsidian Technologies regarding the use of the Service, superseding any prior agreements.

17. Amendments

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Provide a notice within the Service where appropriate.

Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
